The Website provides business information about Agrifia and our agricultural commodity services, including import, export, trading, and brokerage for categories such as pulses, snacks, nuts, coffee beans, spices, seeds, dried fruits, and rice. The Website is a marketing and lead-generation tool. It does not provide a checkout, online payment, or automated order fulfillment. Product specifications, grades, origins, availability, and commercial terms on the Website are indicative and may change without notice.

The Website is intended for business and professional users acting in a commercial capacity. By using the Website, you represent that you are at least eighteen (18) years old and, if submitting an inquiry on behalf of an organization, that you have authority to bind that organization to these Terms. You are responsible for ensuring that your use of the Website complies with the laws applicable to you, including import, export, sanctions, and food-safety regulations in your jurisdiction.

You may use the Website to learn about Agrifia, our product categories, and services; to contact us; and to submit legitimate requests for quotations or business discussions. You may view and download content for your internal business evaluation, provided you do not remove proprietary notices or misrepresent the source.

• use the Website for any unlawful, fraudulent, or misleading purpose;
• submit false, inaccurate, or unauthorized information, including impersonating another person or entity;
• attempt to interfere with the Website's operation, security, or rate limits, or use automated means to scrape, harvest, or overload the site without our prior written consent;
• use the Website to engage with sanctioned parties, prohibited end-uses, or transactions that violate applicable export-control, customs, or trade-sanctions laws;

• use Website content to create a competing database or misleading representation of Agrifia's products, certifications, or affiliations.

We may investigate violations and cooperate with law enforcement where appropriate.

All information on the Website — including product descriptions, specification tables, MOQ guidance, market references, and FAQ content — is for general information only and does not constitute an offer, invitation to treat, or binding quotation. Submitting a Request a Quote, contacting us by email or WhatsApp, or sending a letter of intent does not create a binding contract. Your submission is an expression of interest. Any response from Agrifia is an invitation to negotiate, not a final binding offer. A binding agreement exists only when both parties execute a formal written contract or commercial document that specifies all material terms (commodity, quantity, quality or grade, price, Incoterms, delivery, payment, inspection, and documentation) and is signed or otherwise formally accepted by authorized representatives of both parties. Unless otherwise stated in writing, any quotation we provide is valid only for the period specified in that quotation; if no period is stated, quotes may be withdrawn or revised due to market conditions, availability, freight, or regulatory changes.

Commodity markets are subject to supply, demand, weather, logistics, currency, and geopolitical factors beyond our control. Agrifia does not guarantee continuous availability of any product, grade, or origin shown on the Website. Buyers are responsible for verifying that imported goods meet destination-country requirements, including labeling, phytosanitary rules, food-safety standards, certifications, customs duties, and local registration. Any compliance statements on the Website are general in nature and must be confirmed in writing for your specific shipment and destination.

When you submit an inquiry, you confirm that the information you provide is accurate to the best of your knowledge and that you are authorized to share it. You grant Agrifia a non-exclusive license to use that information internally to evaluate, respond to, and manage your request. Submitting an inquiry does not automatically create a client relationship; we may decline or discontinue discussions at our discretion. Do not send confidential, export-controlled, or highly sensitive production information through unsecured channels unless a mutual NDA or secure data-exchange process is in place.

The Website and its content — including text, layout, logos, graphics, and compilation — are owned by Agrifia or our licensors and are protected by intellectual-property laws. Except for the limited viewing rights described in these Terms, no rights are granted to you. You may not copy, modify, distribute, publicly display, or create derivative works from Website content without our prior written consent. "Agrifia" and related branding may not be used in a manner that suggests endorsement or affiliation without permission.

The Website may link to third-party services such as WhatsApp (Meta Platforms). Those services are not controlled by Agrifia, and your use of them is subject to their own terms and policies. We are not responsible for third-party services, their availability, or their handling of your information.

THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGRIFIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION ON THE WEBSITE IS COMPLETE OR CURRENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGRIFIA AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE WEBSITE OR RELIANCE ON WEBSITE CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100), EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

You agree to defend, indemnify, and hold harmless Agrifia and its directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Website, your violation of these Terms, your violation of applicable law, or information you submit that infringes third-party rights or misrepresents your authority.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

We may suspend or restrict access to the Website, refuse inquiries, or discontinue features at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security or legal risk, or if necessary to maintain the Website or comply with law. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

We may update these Terms from time to time. The "Last updated" date at the top indicates when the current version was posted. Material changes may be highlighted on the Website where appropriate. Your continued use of the Website after updated Terms are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Website.

These Terms and any dispute or claim arising out of or relating to the Website or these Terms (other than matters governed by a separate signed commercial contract between you and Agrifia) are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. You agree that the courts located in Cairo, Egypt shall have exclusive jurisdiction over such disputes, subject to any mandatory consumer or employment protections that cannot be waived in your jurisdiction. For commercial transactions, the governing law and forum in your signed contract with Agrifia will prevail.

These Terms constitute the entire agreement between you and Agrifia regarding use of the Website. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our prior written consent; we may assign these Terms in connection with a business transfer.
